Steve’s practice focuses on all aspects of corporate securities law, with particular emphasis on mergers and acquisitions and corporate finance. Steve has advised participants in numerous public and private M&A transactions, and has represented clients on both sides of friendly and hostile takeover bids. He has represented a broad range of clients on public and private financing transactions of all sizes including initial public offerings, reverse takeovers and capital pool company (CPC) listings and qualifying transactions. Steve has also provided advice to special committees involved in M&A and other related party transactions, and advises Canadian public companies in connection with ongoing securities compliance and corporate governance matters.
Steve is involved in establishing investment and private equity funds as well as advising lead investors. He regularly acts for promoters of, and investors in, a wide range of investment vehicles, ranging from joint ventures to limited partnership syndications to investment trusts. He also counsels market dealers and investment advisors in matters relating to securities registration and compliance.
Steve began practicing corporate securities law at a leading Canadian law firm immediately upon his call to the Ontario bar in early 1999. Since leaving the Bay Street firm in April 2006, he has continued to focus his legal practice on corporate securities matters though he currently caters to clients in the mid-market who require practical, cost-effective solutions provided on a highly responsive and personalized basis.
Steve received his LL.B from the University of Toronto in 1997 and his LL.M from Osgoode Hall Law School in 2007. He has been a member of the Law Society of Upper Canada since 1999.
